Riyadh – Mubasher: Jana Medical Company has invited its shareholders to an extraordinary general meeting scheduled for 10 November at 19:30.

The meeting, to be held both physically in Riyadh and via modern technology, will address significant structural and regulatory changes to the company’s bylaws.

Key agenda items include a proposal to reduce the number of board members from seven to three.

Shareholders will also vote on electing board members for a new four-year term beginning on the meeting date.

Furthermore, the assembly will consider amending the company's association articles to permit the distribution of interim dividends on a quarterly or semi-annual basis, subject to regulatory requirements.

The meeting will also cover the addition of articles allowing the issuance of debt instruments and sukuk, alongside voting on a remuneration policy that sets an annual reward of SAR 100,000 for each board member and a SAR 2,000 attendance fee per session.

For the meeting to be valid, a quorum of 50% of the company’s voting shares is required. If not met, a second meeting will be held one hour later with a 25% quorum requirement.

Jana Medical formed its audit committee following a board of directors’ decision issued on 7 July 2026.
